
The Competition Commission of India (CCI) has approved upGrad’s acquisition of Unacademy, clearing a major regulatory hurdle for one of the biggest consolidation deals in India’s edtech sector. The transaction involves the acquisition of Unacademy’s parent company, Sorting Hat Technologies, and its subsequent merger with upGrad Education.
The deal, announced earlier this year, is structured as a 100% share-swap transaction and is reported to value Unacademy at around ₹2,055 crore ($218 million).

The acquisition is expected to strengthen upGrad’s presence in the online learning and test-preparation segments while accelerating consolidation in India’s evolving edtech market. The combined entity aims to expand its offerings across higher education, upskilling, and competitive exam preparation.
